This Affiliate Programme Agreement ("Agreement") is a legal contract between you ("Affiliate", "you") and Rosie Parsons trading as Rosie Parsons Photography ("we", "us", "our"). By applying to join the Rosie Parsons Photography Affiliate Programme ("Programme") and ticking the box confirming you have read and accepted this Agreement, you agree to be bound by its terms.
If you do not accept these terms, you cannot participate in the Programme.
1. About us
Rosie Parsons Photography is a sole trader business operating in England, with the trading website shop.rosieparsons.com. Contact email: rosie@rosieparsons.com.
2. Becoming an affiliate
To join the Programme you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding contract
- Submit a complete application via our affiliate signup page
- Provide accurate, complete and current information about yourself
- Accept this Agreement at the point of signup
Existing customers of Rosie Parsons Photography may be approved automatically. All other applications are reviewed and approved at our discretion. We reserve the right to decline any application without giving reasons. Approval is not guaranteed.
We may suspend or terminate your participation in the Programme at any time, with or without cause and with or without notice, including (but not limited to) where we believe you have breached this Agreement.
3. How the Programme works
Once approved, you will receive a unique referral link. When a customer clicks your link and completes a purchase on our store, you earn commission on that sale, subject to the terms below.
Commission rate: 30% of the net sale value (excluding any taxes, shipping, or fees) of any qualifying product purchased through your referral link.
Attribution window: Each customer who clicks your referral link is tracked via a browser cookie for up to 30 days. Once a customer makes a purchase through your link, they are linked to you as a permanent customer for 365 days from the date of their first purchase. During that 365-day window, all subsequent purchases by that customer earn you commission, even if they do not click your referral link again.
Cookie limitations: Cookie-based tracking is dependent on the customer's browser settings, device, and behaviour. Browsers may clear, block or limit cookies, which can affect attribution. We cannot guarantee that every referral will be accurately tracked.
Self-referrals: You may not earn commission on your own purchases or any purchases made on your behalf. Self-referrals will be reversed.
4. Payment terms
Currency: All commissions are calculated and paid in pounds sterling (GBP), regardless of the currency of the original sale.
Payout threshold: Your accumulated commission must reach a minimum of £50 before a payout is issued. Balances below £50 will roll over to the following month.
Payout schedule: Payouts are processed at the end of each calendar month, subject to our review and approval. Payments are issued via direct bank transfer (autopay) to the bank account you provide.
Bank details: You are solely responsible for providing accurate, complete and up-to-date bank details. We are not liable for any losses, delays or failed payments caused by incorrect, outdated or incomplete information you have submitted. If a payment fails due to incorrect details, we will hold the funds until you provide corrected information; we are not obliged to retry payment more than once or to cover any fees incurred.
International affiliates: If you are based outside the United Kingdom, your bank may apply currency conversion fees, exchange rate margins or transfer charges when receiving GBP payments. These charges are your responsibility and will not be reimbursed.
Tax and VAT:
- You are solely responsible for declaring and paying any income tax, VAT, sales tax or other taxes that apply to your commission income, in your own jurisdiction.
- The 30% commission rate is the gross amount payable to you. You may not invoice us for or add VAT, GST or any other tax on top of this commission. If you are VAT-registered, the commission is treated as inclusive of any tax you may owe to your tax authority. We are not VAT-registered and cannot reclaim VAT on commission payments.
- We will not provide tax advice. If you are unsure of your tax obligations, seek professional advice.
Refunds and chargebacks: If a customer requests a refund, raises a chargeback, or their purchase is otherwise reversed, we reserve the right to reverse or withhold the related commission. In practice, we may choose not to reverse small individual refunds, but reserve the absolute right to do so.
No payment for unqualified referrals: Commission is only payable on completed, paid purchases of qualifying products. Abandoned carts, refunded orders, fraudulent transactions and orders that fail to complete payment do not earn commission.
5. Permitted promotion
You may promote our products via:
- Your own website, blog or email list (provided your subscribers have given consent to receive marketing from you)
- Your own social media channels
- Podcasts, videos, livestreams and other content you produce
- Word of mouth and direct conversation
- Other channels with our prior written approval
You must always disclose your affiliate relationship clearly and prominently when promoting our products, in accordance with the UK Advertising Standards Authority (ASA) rules, the Competition and Markets Authority (CMA) guidance on hidden advertising, and the laws of any other jurisdiction where you promote.
6. Prohibited conduct
You must not, in connection with the Programme:
- Bid on, or use in paid advertising, our brand name, product names ("Slay Your Selfies", "Rosie Parsons", "Rosie Parsons Photography" or any close variants), domain names, or trademarks
- Run paid advertising of any kind that uses our intellectual property without our prior written consent
- Submit our products to discount, voucher, deal or coupon websites
- Make false, misleading, exaggerated or unsubstantiated claims about our products, results, or services
- Impersonate Rosie Parsons or any member of our team in any communication, post or content
- Pretend to be a current student or customer of any of our products if you are not
- Use AI-generated, manipulated or stock imagery to imply you have personally achieved results from our products when you have not
- Spam, send unsolicited bulk emails, or promote our products to any audience that has not consented to receive marketing from you
- Engage in cookie stuffing, link spoofing, click fraud, fake traffic generation or any other technique designed to manipulate referral attribution
- Promote our products on websites or platforms that contain or facilitate illegal, harmful, hateful, defamatory, obscene, sexually explicit, violent or discriminatory content
- Promote our products in a way that targets minors, vulnerable individuals, or communities centred on disordered eating, body dysmorphia, or self-harm
- Use our content, brand assets or website materials in a way that is inconsistent with our brand values or that may bring us into disrepute
- Misrepresent yourself, your audience size, your professional credentials or your relationship with us
- Sell, transfer or assign your affiliate account to a third party
Breach of any of the above is grounds for immediate termination, forfeiture of unpaid commission, and where appropriate, legal action.
7. Brand and intellectual property
All trademarks, logos, brand names, product names, photography, video, course content, written materials, and other intellectual property belonging to Rosie Parsons Photography remain our exclusive property.
You may:
- Refer to our products and brand by name in good faith promotion
- Use our publicly available product imagery and approved promotional assets that we make available to affiliates
You may not:
- Modify, edit or alter our brand assets without our written consent
- Register, purchase or use any domain name, social media handle, business name, trademark or app name that includes our brand or product names
- Reproduce, copy, distribute, resell or share our paid course content (including but not limited to videos, PDFs and worksheets from "Slay Your Selfies" or any other paid product) under any circumstances
- Claim or imply ownership of, or partnership with, our business beyond your role as an affiliate
8. Confidentiality
You may receive non-public information about our business, products, students, pricing strategy, launch plans, marketing or commercial performance through your participation in the Programme. You agree to keep all such information confidential and not to disclose it to any third party without our prior written consent. This obligation continues to apply after your participation in the Programme ends.
9. Independent contractor relationship
You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, agency, franchise or fiduciary relationship between you and Rosie Parsons Photography. You have no authority to make any commitments, representations or warranties on our behalf.
You are solely responsible for:
- Your own income tax, National Insurance contributions, and other tax liabilities
- Any business registrations, licences or permits required in your jurisdiction
- Your own health, safety, equipment and working arrangements
- Your own social media advertising disclosures and compliance with ASA, CMA, FTC or other regulatory bodies relevant to where you operate
10. Liability
To the fullest extent permitted by law:
- We make no warranties, express or implied, regarding the Programme, the level of commission you may earn, or the volume of sales generated through your referrals
- We are not liable for any indirect, consequential, incidental, special or punitive damages arising from your participation in the Programme
- Our total aggregate liability to you under this Agreement is limited to the total commission paid to you in the 12 months preceding the event giving rise to the claim
- Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be excluded
11. Indemnity
You agree to indemnify, defend and hold harmless Rosie Parsons Photography, Rosie Parsons personally, and any associated parties from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising from:
- Your breach of this Agreement
- Your promotional activities, including any claims made about our products
- Your violation of any law, regulation or third-party right
- Any content you create, post or distribute in connection with the Programme
12. Termination
Either party may terminate this Agreement at any time, with or without cause and with or without notice.
On termination:
- Your access to the affiliate dashboard and your unique referral link will be revoked
- Any commission earned and accrued before the termination date, above the £50 payout threshold, will be paid out at the next scheduled payout, subject to our review
- We reserve the right to withhold any unpaid commission if termination is for breach of this Agreement, fraud, or any prohibited conduct under section 6
- Sections 6, 7, 8, 10, 11, 13 and 14 survive termination
13. Changes to this Agreement
We may update this Agreement from time to time. The current version will always be available at the URL where this Agreement is hosted. Material changes will be communicated to active affiliates by email. Continued participation in the Programme after notification of changes constitutes acceptance of the updated terms.
14. Governing law and disputes
This Agreement is governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with this Agreement is subject to the exclusive jurisdiction of the courts of England and Wales.
15. Entire agreement
This Agreement, together with our website Terms of Service and Privacy Policy, constitutes the entire agreement between you and Rosie Parsons Photography in relation to the Programme. It supersedes any prior arrangements, communications or representations.
